Regulatory basis of the offering
In the United States, interests are offered under Rule 506(c) of Regulation D solely to verified accredited investors. Outside the United States, interests are offered under Regulation S to non-U.S. persons, subject to applicable local law. Interests have not been, and will not be, registered under the U.S. Securities Act of 1933, as amended, or the securities laws of any state or other jurisdiction, and are offered and sold in reliance on exemptions from registration. No U.S. or foreign securities regulator has approved or disapproved of any Firm-managed fund or passed upon the accuracy or adequacy of this website.
Key risk factors
An investment in a Firm-managed fund is speculative and involves a high degree of risk. Prospective investors should review the complete risk factors in the applicable offering memorandum before investing. Principal risks include, among others:
- Illiquidity. Interests are not registered securities, are subject to substantial transfer restrictions, and carry no redemption right. Any liquidity is provided solely through discretionary tender offers, which may be limited, prorated, reduced, or suspended at the Fund's discretion, including in stressed market conditions.
- Venture capital and secondaries risk. Underlying investments are made in early- and growth-stage companies and venture fund interests, which are inherently speculative, may fail entirely, and are dispersed in outcome; a small number of positions may account for a large share of returns, or losses.
- Valuation risk. Net asset value for illiquid, privately held positions is an estimate based on the Fund's valuation policies, may not reflect realizable value, and directly affects the price at which investors subscribe or receive tender proceeds.
- Concentration and geographic risk. The Fund concentrates its investments within a single geographic ecosystem, which increases exposure to region-specific economic, political, security, and market conditions.
- Manager and fund-of-funds risk. The Fund depends on the performance and conduct of underlying managers it does not control, and bears fees at both the Fund and underlying-fund level.
- Currency and cross-border risk. Underlying investments and investors may be denominated in, or located in, different currencies and jurisdictions, introducing currency, tax, and regulatory risk.
- No guarantee. No representation is made that any fund will achieve its investment objective, replicate the performance of any comparable fund referenced on this website, or avoid loss of principal.
Fees and compensation
The Firm and its affiliates receive management and incentive fees from Firm-managed funds, as described in the applicable offering memorandum. Because the Firm's compensation is tied to assets under management and fund performance, the Firm has a financial incentive to raise and retain capital that investors should weigh alongside the alignment features described in the fund's governing documents.
Conflicts of interest
The Firm and its personnel may face conflicts of interest in the ordinary course of managing Firm-sponsored funds, including in the allocation of investment opportunities among funds and co-investors, transactions with affiliated managers or entities, and the exercise of discretion over valuation and tender offers. The Firm addresses such conflicts through its governance policies and the terms of the applicable governing documents, which are described more fully in the offering memorandum.

Interests in Firm-managed funds are not deposits, are not insured by the FDIC, SIPC, or any other governmental or private insurer, and are not guaranteed by any bank or other institution.
